Thank you for using Ask Ellis.  These Terms and Conditions cover your use and access to the products, websites, and services (“Services”) provided by Ask Ellis and any of its affiliates.  By using Ask Ellis’s Services, you agree to these Terms and Conditions.  If you are acting as an employee or agent of an entity, you agree to these Terms and Conditions on behalf of that entity.  You must be the legal age of majority in your state of residence or otherwise able to form a binding contract with Ask Ellis in order to use its Services.

Ask Ellis is Not a Law Firm and Does Not Provide Legal Advice

Ask Ellis provides a platform for legal information and self-help resources.  The information provided by Ask Ellis is only for private use and does not constitute legal advice.  Ask Ellis does not review information provided by you for legal accuracy or sufficiency, draw legal conclusions, provide opinions about your selections or apply the law to the facts of your particular situation.  Neither Ask Ellis nor any of the information provided by Ask Ellis is a substitute for legal advice from a qualified attorney licensed to practice in an appropriate jurisdiction.

Your use of Ask Ellis’s Service does not create an attorney-client relationship between you and Ask Ellis, or between you and any Ask Ellis employee or representative.

Ask Ellis is not a Lawyer Referral Service

Ask Ellis is not a lawyer referral service.  Ask Ellis does not select or endorse any particular lawyer to service its customers.  Ask Ellis does not warrant, guarantee or represent as to the ability, competence or qualifications of any attorney.  Ask Ellis selects lawyers based on an application process between Ask Ellis and the lawyer which includes proof of professional liability insurance and licensure information.  However, Ask Ellis does not warrant or guarantee that attorneys carry professional liability insurance or proper licensure.  Users agree to independently research and evaluate the particular qualifications of any attorney before engaging said attorneys’ services.

Consulting with Independent Attorneys

When you use Ask Ellis’s services, you will have the opportunity to consult with independent attorneys.  These attorneys are neither employees nor agents of Ask Ellis.  These attorneys are third-party independent contractors that have agreed to provide limited consultations to Ask Ellis users.  You are not required to communicate with any of these attorneys.  However, any communication or interaction with these attorneys and any subsequent attorney-client relationship which may be formed between you and these attorneys is strictly between you and the attorney and expressly excludes Ask Ellis.  The terms of such relationship will also be created solely between you and the attorney.  Those terms will not include Ask Ellis and, except for any special discounts for our users, Ask Ellis does not set, control or influence them.  The attorney may ask you to sign a formal representation agreement which will contain the scope of work requested of them along with the cost of legal services and handling of out of pocket expenses.  This agreement excludes Ask Ellis.  At no point may Ask Ellis be held liable for acts or omission of any attorney performing services for you.

Attorneys may be compensated by Ask Ellis for services provided to users but Ask Ellis does not receive any share of the legal fees collected by any of these attorneys.

Personal Identification Information

Ask Ellis will provide you potential attorney contacts and facilitate an initial consultation.  The attorney may request some information from you regarding you and your legal affairs to properly address your concerns.  By using Ask Ellis’s Services, you consent to sharing such personal identification information for the purpose of securing legal advice from the requesting attorney.  This information will be accessible to Ask Ellis when submitted through our platform and may be used for quality assurance purposes.

Right to Terminate Accounts

Ask Ellis, within its sole discretion, reserves the right to determine improper conduct or improper usage of its services by a user in connection with its Terms and Conditions.  Ask Ellis also reserves the right to terminate or deny access to any user for any reason, with or without prior notice.

Email Communications

We use email and electronic means to stay in touch with our Users and Network Participants. For contractual purposes, you (i) consent to receive communications from Ask Ellis in an electronic form via the email address you have submitted or via the Service; and (ii) agree that all Terms of Use, agreements, notices, disclosures and other communications that Ask Ellis provides to you electronically satisfy any legal requirement that such communications would satisfy if it were in writing.

Disclaimer

The information provided by Ask Ellis is for informational purposes only and Ask Ellis does not endorse or recommend any attorney nor does it make any warranty as to the qualifications or competency of any attorney.  Ask Ellis shall not be responsible and shall have no liability for any professional services rendered by any attorney you interact or communicate with through Ask Ellis’s services.  Any use or reliance on such attorney professional services is at your own risk.

Indemnify and Release

You agree to release, indemnify and hold Ask Ellis and its affiliates, employees, and agents harmless from any and all losses, damages, expenses, including reasonable attorneys’ fees arising out of any third party claims relating to your use of the Services, your violation of these Terms and Conditions or your violations of any rights of third other third parties.

Choice of Law

The Terms and Conditions will be governed by New York law.  Any legal action pertaining to these Terms and Conditions must be brought in the state of New York.

Entire Agreement

These Terms and Conditions constitute the entire agreement between you and Ask Ellis, and supersede and replace any other prior or contemporaneous agreements, or terms and conditions.

Waiver and Severability

The failure of Ask Ellis to enforce any provision is not a waiver of Ask Ellis’s right to do so later.  If a provision is found unenforceable, the remaining provisions of the Terms and Conditions will remain in full effect.

Modifications

Ask Ellis may revise these Terms and Conditions from time to time.  The most current version will always be posted on Ask Ellis’s website.
